Terms of Service
These Terms of Service ("Terms") are a binding agreement between TADKEER INFORMATION SOLUTION, a company registered in Abu Dhabi, United Arab Emirates ("AiPSoft", "we", "us"), and the business or person that creates an account ("Client", "you"). They govern your use of AiPSoft MessageHub, available at https://messagehub.aipsoft.com/, together with its related applications, APIs and support (the "Service"). By creating an account or using the Service you accept these Terms and our Privacy Policy.
1. The Service
MessageHub is a software-as-a-service platform that lets businesses connect their WhatsApp Business Account through the WhatsApp Cloud API and send and receive messages, manage message templates, run broadcasts and automations, and handle customer conversations in a shared inbox. AiPSoft is a Meta Tech Provider; the underlying messaging channel is provided by Meta Platforms, Inc. ("Meta") under Meta's own terms.
2. Eligibility and accounts
- You must be at least 18 years old and authorised to bind the business you register.
- You must provide accurate account and billing information and keep it up to date.
- You are responsible for all activity under your account and for keeping credentials confidential. Notify us immediately at support@aipsoft.com of any unauthorised use.
- You may invite team members to your workspace; you are responsible for their compliance with these Terms.
3. Meta and WhatsApp terms
Use of WhatsApp through the Service is subject to, and you agree to comply with, the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and the Meta Platform Terms, each as updated by Meta from time to time. In particular you agree that:
- you own or are authorised to use the WhatsApp Business Account and phone numbers you connect;
- you will obtain any opt-in required by Meta before sending messages to a person and will honour opt-out requests promptly;
- you will not send spam, unsolicited marketing, or messages that are illegal, deceptive, harmful or otherwise prohibited by Meta's policies;
- Meta may set messaging limits, quality ratings and pricing, and may restrict or disable accounts that violate its policies; AiPSoft has no control over these decisions.
By connecting your WhatsApp Business Account you authorise AiPSoft to access and use your WhatsApp Business Account data on your behalf solely to provide the Service. You may revoke this authorisation at any time from your Meta Business Portfolio.
4. Acceptable use
You must not use the Service to:
- violate any applicable law, including UAE telecommunications, consumer-protection and data-protection laws;
- send messages to people who have not agreed to receive them, or continue messaging after an opt-out;
- transmit malware, phishing content, fraudulent offers, adult content, illegal goods or other prohibited content;
- harvest or scrape contact data, or upload contact lists you have no lawful right to use;
- interfere with the security or performance of the Service, or attempt to access other Clients' workspaces;
- resell or white-label the Service without a written partner agreement with AiPSoft.
We may suspend or terminate accounts that breach this section, and may remove content or block messages that in our reasonable judgement violate these Terms or Meta's policies.
5. Your data
You retain all rights to the content, contact lists and messages you upload or generate through the Service ("Client Data"). You grant AiPSoft a limited licence to host, process and transmit Client Data solely to provide, secure and support the Service. You are the data controller of your End Users' personal data; AiPSoft processes it as your processor as described in the Privacy Policy. You are responsible for having a lawful basis to collect and message your End Users and for responding to their privacy requests, with our assistance.
6. Fees and payment
- Subscription fees are published at messagehub.aipsoft.com or agreed in your order and are billed in advance for each billing period.
- WhatsApp conversation charges are set by Meta and are billed either directly by Meta to your Meta Business Portfolio payment method or by AiPSoft, as stated in your plan.
- Fees are exclusive of VAT and other taxes, which will be added where applicable.
- Overdue accounts may be suspended after 7 days' notice. Fees are non-refundable except where required by law or expressly stated in your plan.
- We may change prices with at least 30 days' notice; changes apply from your next billing period.
7. Term, suspension and termination
- These Terms apply for as long as you have an account. You may cancel at any time from the dashboard or by emailing support@aipsoft.com; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your access immediately if you materially breach these Terms, if Meta suspends your WhatsApp Business Account, if required by law, or if your account is unpaid.
- On termination your data remains exportable for 30 days and is then deleted in accordance with the Privacy Policy.
8. Intellectual property
The Service, including its software, design, documentation and trademarks (AiPSoft, MessageHub), is owned by TADKEER INFORMATION SOLUTION and its licensors and is protected by intellectual-property laws. You receive a non-exclusive, non-transferable right to use the Service during your subscription. You must not copy, modify, reverse-engineer or create derivative works of the Service. WhatsApp and Meta are trademarks of Meta Platforms, Inc.
9. Service availability and support
We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. Planned maintenance will be announced in advance where practical. Support is available by email at support@aipsoft.com and by WhatsApp on +971 56 664 4516 during UAE business hours. Availability of WhatsApp itself is outside our control.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, AiPSoft disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that messages will be delivered, that templates will be approved by Meta, or that the Service will meet your specific requirements.
11. Limitation of liability
To the fullest extent permitted by law, AiPSoft will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or related to the Service. Our total aggregate liability under these Terms is limited to the fees you paid to AiPSoft for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnity
You will indemnify and hold harmless AiPSoft, its officers, employees and partners from any claims, damages, fines and costs (including reasonable legal fees) arising from your Client Data, your messaging practices, your breach of these Terms or of Meta's policies, or your violation of any law or third-party right.
13. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. We will post updated Terms at this URL with a new effective date and, for material changes, give at least 14 days' notice by email or in-app notice. Continued use after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates. The courts of Abu Dhabi have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer rights you may have in your country of residence. Before starting proceedings, the parties will attempt in good faith to resolve the dispute through discussion for at least 30 days.
15. General
- These Terms, the Privacy Policy and your order form are the entire agreement between you and AiPSoft regarding the Service.
- If any provision is found unenforceable, the remainder stays in effect.
- You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
- Neither party is liable for delays caused by events beyond its reasonable control, including outages of Meta or WhatsApp.
